Regardless,\u00a0Employee Stock Ownership Plans (ESOPs) are a hot topic these days.<\/span><\/p>\n<p><span data-verified=\"redactor\" data-redactor-tag=\"span\" data-redactor-style=\"font-size: 16px;\"><strong data-redactor-tag=\"strong\">Owners want a chance to give back to employees to create a culture of ownership<\/strong>.\u00a0Employees want\u00a0a stake in the outcome, and equity in the business they are helping to create and to grow.<\/span><\/p>\n<p><span data-verified=\"redactor\" data-redactor-tag=\"span\" data-redactor-style=\"background-color: initial;\">An ESOP can help deliver on all of these wants.<\/span><\/p>\n<p><span data-verified=\"redactor\" data-redactor-tag=\"span\" data-redactor-style=\"font-size: 16px;\"><strong data-redactor-tag=\"strong\">ESOPs work when there is:<\/strong><\/span><\/p>\n<ul>\n<li><span data-verified=\"redactor\" data-redactor-tag=\"span\" data-redactor-style=\"font-size: 16px;\">Cash Flow<br \/>\n<\/span><\/li>\n<li><span data-verified=\"redactor\" data-redactor-tag=\"span\" data-redactor-style=\"font-size: 16px;\">Business Value<br \/>\n<\/span><\/li>\n<li><span data-verified=\"redactor\" data-redactor-tag=\"span\" data-redactor-style=\"font-size: 16px;\">Motivated Employees<br \/>\n<\/span><\/li>\n<li><span data-verified=\"redactor\" data-redactor-tag=\"span\" data-redactor-style=\"font-size: 16px;\">Strong leadership<br \/>\n<\/span><\/li>\n<\/ul>\n<p><span data-verified=\"redactor\" data-redactor-tag=\"span\" data-redactor-style=\"font-size: 16px;\"><strong data-redactor-tag=\"strong\">Cash flow must be sufficient to service the debt associated with the ESOP transaction.\u00a0<\/strong>The business value must be high enough to allow for financing of the deal.<\/span><\/p>\n<p><span data-verified=\"redactor\" data-redactor-tag=\"span\" data-redactor-style=\"font-size: 16px;\">Employees must be motivated to want to be owners.\u00a0<strong data-redactor-tag=\"strong\">ESOPs n<\/strong><strong data-redactor-tag=\"strong\">ever really work well unless employees buy-in to the concept of employee ownership<\/strong>.\u00a0Employees may say they want the rewards of being an owner, but do they also want the risks? Do they know what the risks are?<\/span><\/p>\n<p><span data-verified=\"redactor\" data-redactor-tag=\"span\" data-redactor-style=\"background-color: initial;\">Strong leadership is a critical component of a successful ESOP.\u00a0<strong data-redactor-tag=\"strong\">Nobody wants a Lord of the Flies scenario at the brewery.<\/strong>\u00a0ESOPs can create employee ownership and improved engagement. However, without strong leadership the whole deal can go terribly wrong.<\/span><\/p>\n<p><span data-verified=\"redactor\" data-redactor-tag=\"span\" data-redactor-style=\"background-color: initial;\">There&#8217;s lots to consider with an ESOP. Talk to your fellow brewers that have made the leap and ask for advice. Talk to your CPA or lawyer to understand the options and considerations.<\/span><\/p>\n<p><span data-verified=\"redactor\" data-redactor-tag=\"span\" data-redactor-style=\"background-color: initial;\">There&#8217;s a lot at stake.
